These Terms apply when you use PingHoot.

PingHoot is a NeoOrbit project. NeoOrbit is a trading name of Clear Solutions Online Ltd, a company registered in England and Wales.

By creating an account or using PingHoot, you agree to these Terms.

1. About PingHoot

PingHoot is a website monitoring service.

We periodically check websites and other URLs that you ask us to monitor and can notify you when we detect that they are unavailable, and when they recover.

Depending on your plan and settings, notifications may be sent by email, SMS or other methods made available through the service.

2. Your account

You are responsible for keeping your account details accurate and your login details secure.

You are responsible for activity carried out through your account.

You must not use PingHoot for unlawful purposes or in a way that could interfere with, damage or place an unreasonable load on our service or somebody else's systems.

We may suspend or close accounts that are being misused or are causing harm to PingHoot or third parties.

3. Website monitoring

PingHoot is designed to help you identify website downtime, but no monitoring service can guarantee that every outage or problem will be detected.

Checks can occasionally be delayed, missed or produce an incorrect result because of factors such as network problems, server issues, maintenance or circumstances outside our control.

Notifications may also occasionally be delayed or fail to arrive, including where we rely on third-party email, SMS or network providers.

You should not rely on PingHoot as the only way of detecting problems where website availability is critical to your business.

We will take reasonable care in providing the service, but we do not guarantee uninterrupted or error-free monitoring.

4. Free and paid plans

PingHoot may offer both free and paid plans.

The features, monitoring limits, check frequency and other allowances included with each plan are shown on our website.

We may change our plans, features or prices from time to time. Where a change affects an existing paid subscription, we will give reasonable notice before it takes effect.

5. Payments and subscriptions

Paid plans are billed in advance using the payment method provided when you subscribe.

Subscriptions continue until cancelled.

You can cancel a paid subscription at any time. Your paid features will normally remain available until the end of the period you have already paid for, after which your account will be moved to the applicable free plan or otherwise limited as explained when you cancel.

We do not charge cancellation fees.

Payments are processed by our payment provider. We do not directly store your full payment card details.

6. SMS notifications

Some plans may include SMS notifications or allow SMS credits to be purchased separately.

Each SMS notification may use one or more credits. The number of credits required and any limits that apply will be shown within PingHoot or when credits are purchased.

We cannot guarantee delivery of an SMS because delivery also depends on mobile networks and third-party providers.

7. Acceptable use

You may only use PingHoot to monitor websites or services where you have a legitimate reason to do so.

You must not use PingHoot to:

  • deliberately overload or disrupt a website or service;
  • attempt to bypass security or access controls;
  • carry out attacks, vulnerability scanning or other malicious activity;
  • monitor URLs containing unlawful or abusive content; or
  • use the service in any way that breaks the law.

We may limit, suspend or close an account where we reasonably believe it is being used in this way.

8. Availability of PingHoot

We aim to keep PingHoot available and reliable, but the service itself may occasionally be unavailable.

We may also carry out maintenance, updates or changes to the service.

Where practical, we will try to minimise disruption.

9. Closing your account

You can stop using PingHoot at any time and can close your account using the options provided within the service or by contacting us.

We may suspend or close an account where there has been a serious or repeated breach of these Terms, where necessary for security reasons, or where we are legally required to do so.

Where appropriate, we will give you reasonable notice or an opportunity to resolve the issue first.

10. Our responsibility to you

PingHoot is a monitoring and notification tool. It cannot prevent your website from going offline and we do not guarantee that every incident will be detected or that every notification will be delivered.

We are not responsible for losses caused by websites, hosting providers, internet networks, mobile networks or other third-party services that we do not operate.

If you use PingHoot for business purposes, we will not be liable for any loss of profits, revenue, business, contracts, anticipated savings or business opportunities resulting from downtime, a missed or delayed check, an incorrect monitoring result, or a notification that is delayed or not delivered.

Our total liability to you in connection with PingHoot will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where it would be unlawful for us to do so, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any statutory rights that cannot legally be excluded.

11. Intellectual property

PingHoot, including its software, branding, website and original content, belongs to Clear Solutions Online Ltd or its licensors.

Using PingHoot does not give you ownership of any part of the service.

You retain ownership of information and content that you provide to us.

12. Changes to these Terms

We may update these Terms from time to time, for example when we change PingHoot, introduce new features or need to reflect changes in the law.

If we make a significant change that affects existing users, we will provide reasonable notice.

The latest version will always be available on our website.

13. Governing law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also have rights under the laws that apply where you live.
